Terms of Service

Last Updated: October 9, 2026

These Terms of Service ("Terms") govern your access to and use of the Lokutor platform, APIs, and related services (collectively, the "Services") provided by Lokutor AI ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Definitions

  • "Account" means your registered account on the Services.
  • "API Key" means a credential issued to you to access our APIs.
  • "Content" means all text, audio, images, or other materials you input to the Services ("Input") and receive from the Services ("Output").
  • "Balance" means the prepaid funds held for your Account, in US dollars, against which your use of the Services is charged.
  • "Rate Card" means our published prices for each use of the Services, at lokutor.com/pricing and in machine-readable form at GET /v1/pricing.
  • "Free Account" means an Account that has never added funds to its Balance.

2. Eligibility

You must be at least 18 years old to use the Services. If you register on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. You are responsible for your employees' and representatives' compliance with these Terms.

3. Account Registration & Security

You may need to create an Account to use the Services. You must provide accurate and current information. You are responsible for maintaining the confidentiality of your Account credentials and API Keys and for all activities under your Account. Notify us immediately of any unauthorized use.

4. Services and API Usage

4.1 API Access

Your API Key grants you access to our Text-to-Speech (TTS), Speech-to-Text (STT), and Voice Agent APIs, subject to your Balance and to your Account's concurrency limit: up to 3 sessions at the same time before your first top-up and 10 after, or the limit we have agreed with you in writing. API access is subject to rate limits and fair use policies.

4.2 Voice Agents

When you create and deploy voice agents, you define their behavior through prompts, knowledge documents, and tool configurations. You are solely responsible for the agents you create and their interactions with end users. You must comply with all applicable telecommunications laws, including call recording and consent requirements.

4.3 Phone Numbers

If you purchase or provision phone numbers through the Services, you agree to comply with all applicable telecommunications regulations (FCC, Ofcom, etc.) and applicable call recording and consent laws. You must ensure all parties are informed of AI participation where legally required.

5. Prepaid Balance and Payment

5.1 Prepaid Balance

The Services are paid for in advance. You add funds to your Balance, and each use of the Services is charged against it at the prices in the Rate Card, which is incorporated into these Terms by reference. Your Billing page lists every charge, with its components and the Rate Card version it was priced with. The Balance is held and charged in US dollars. If you pay in another currency, Stripe converts the amount at its exchange rate at the time of payment, and your Balance is credited with the US-dollar amount shown at checkout.

5.2 What Is Charged

As set out in the Rate Card: Voice Agent sessions per second the session is open, plus the language-model tokens the session uses, including replies prepared in advance to answer faster unless you turn that off for an Agent; phone calls per started minute, at the rate for the country and type of number; text-to-speech per character; speech-to-text and noise removal per minute of audio; web searches and CRM lookups per use; and phone numbers per month, in advance. A session that nobody has spoken on for 5 minutes is ended automatically.

5.3 Top-Ups

The minimum top-up is $10. You may turn on automatic top-up: when your Balance falls below the threshold you choose, we charge your saved payment method the amount you choose, up to the monthly limit you set. Automatic top-ups are charged in US dollars, and your bank may convert them. You can change or turn off automatic top-up at any time from your Billing page.

5.4 Welcome Credit and Promotional Credit

New Accounts receive a one-time welcome credit of $5 when they confirm their email address, one per person. It expires 90 days after it is granted and, until your first top-up, does not cover calls the Agent places to phone numbers, or phone number rental. Promotional credit and gifts expire as stated when granted, or after 90 days if no date is stated. Welcome and promotional credit has no cash value, cannot be refunded or transferred, and is used before the funds you have paid for.

5.5 Expiry

Funds you have paid for do not expire.

5.6 Low and Negative Balance

A session or request needs a Balance of at least $0.25 to start. A Voice Agent call already in progress may continue until your Balance reaches minus $2, an amount shared by all of your Account's calls in progress; the Agent then says goodbye and ends the call. Text-to-speech, speech-to-text and noise-removal requests are refused once the Balance is below $0.25. A negative Balance is an amount you owe us, and is deducted from your next top-up. If your Balance cannot pay a phone number's monthly rent, the number is kept for 30 days and then released; a released number may not be recoverable.

5.7 Refunds

Within 14 days of a top-up, you may ask for a refund of the part of it you have not used, by writing to contact@lokutor.com. Refunds are made through Stripe to the original payment method, in the currency you paid in. If you are a consumer in the European Union, the European Economic Area or the United Kingdom, this is also how your right of withdrawal works: by using the Services within the 14 days, you ask us to start providing them, and on withdrawal you receive the unused part of the top-up. After 14 days, refunds are at our discretion. Welcome and promotional credit is never refunded.

5.8 Taxes

Prices in the Rate Card exclude taxes. Applicable VAT, GST or sales tax is calculated at checkout from your location and added to the top-up; your Balance is credited with the amount before tax. Businesses that provide a valid tax ID may be charged under the reverse-charge mechanism where it applies.

5.9 Disputed Payments

If a payment is disputed with your bank or reversed, the amount is removed from your Balance, which may become negative, and new sessions are paused until the dispute is resolved.

5.10 Price Changes

We may change the Rate Card. Price increases take effect no earlier than 30 days after we notify you by email or in the dashboard; reductions may take effect immediately. A session in progress is charged at the Rate Card version in effect when it started.

6. Content Ownership

6.1 Your Content

You retain all rights in your Input and Output. You grant us a limited, non-exclusive license to process your Content solely to provide and improve the Services. We will not use your Content for model training unless you explicitly opt in.

6.2 Our Services

We retain all rights in the Services, including our models, software, and infrastructure. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

6.3 Model Output

Due to the nature of AI, Output may not be unique across users. Two different users may receive similar or identical Output for similar Inputs.

7. Prohibited Uses

You may not use the Services to:

  • Violate any applicable law or regulation, including call recording laws, telemarketing laws (TCPA/CTA), or anti-spam laws (CAN-SPAM/PECR).
  • Impersonate another person or entity, or create deceptive or fraudulent content.
  • Generate harmful, abusive, harassing, or defamatory content.
  • Infringe upon the intellectual property rights of others.
  • Distribute malware, spam, or conduct denial-of-service attacks.
  • Attempt to reverse engineer, decompile, or extract our models or algorithms.
  • Circumvent concurrency limits, balance checks or other limits of the Services, or share API Keys with unauthorized parties.
  • Use the Services for unsolicited bulk communications (spam calls/messages).
  • Process protected health information (PHI) without a signed BAA.
  • Use the Services to create deepfakes or synthetic media for impersonation without consent.
  • Resell, sublicense, or commercially redistribute the Services without written authorization.

8. Data Processing

Our collection and use of personal data is described in our Privacy Policy. For business customers processing personal data on behalf of others, our Data Processing Addendum applies.

Voice Data: Audio transmitted through the Services is processed in real time to deliver STT, TTS, and Voice Agent functionality. Speech API audio is not retained as a stored recording.

Model training: We do not currently train models on your conversations. We may do so in future for conversations on Free Accounts, with at least 30 days’ notice, and Accounts that have added funds stay excluded unless they opt in. See the Privacy Policy §1.2.

Call recording: Recording of Voice Agent calls is off unless enabled for an Agent, and when enabled the Agent announces it at the start of the call. On Free Accounts, recording is always on and cannot be disabled, and Lokutor personnel may listen to recordings to diagnose faults and improve the Services — this is the trade-off for free use and is disclosed to callers on the call. After your first top-up you can disable recording entirely. Recordings are deleted after 90 days, or sooner on request. See the Privacy Policy §1.4.

Data Retention: We retain conversation data for up to 90 days for quality assurance unless you request earlier deletion. API usage logs are retained for 12 months for billing and analytics.

9. Intellectual Property Claims (DMCA)

If you believe content on the Services infringes your intellectual property rights, send a written notice to: legal@lokutor.com including: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a good-faith statement, and (5) a statement under penalty of perjury.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that AI-generated content will be accurate or suitable for any particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from these Terms shall not exceed the greater of (a) $100 or (b) the amount you paid us in the 12 months preceding the claim.
  • We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or business interruption.
  • These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, etc.).

12. Indemnification

You agree to indemnify, defend, and hold harmless Lokutor AI and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses arising from: (a) your use of the Services, (b) your Content, (c) your violation of these Terms, (d) your violation of any third-party rights, or (e) your use of Voice Agents in telecommunications.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately. You may terminate your Account at any time from your Settings page. Upon termination, we will retain data only as required by law and as described in our Privacy Policy.

14. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance. If you do not accept a material change, you may close your Account within 30 days of it and receive a refund of the funds you have paid for and not used.

15. Governing Law and Disputes

These Terms are governed by the laws of the European Union / Spain, without regard to conflict-of-law principles. Any disputes shall be resolved through binding arbitration under the rules of the Madrid Court of Arbitration, unless either party elects to bring proceedings in the courts of Madrid, Spain. Both parties waive the right to participate in class actions.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, Data Processing Addendum, and Acceptable Use Policy, constitute the entire agreement between you and Lokutor AI regarding the Services.
